Chapter 2. Fair Conduct of Jobs

Article 3 (Efficient and sound conduct of jobs)

  1. Members of the Company shall make reasonable effort to maximize efficiency in their respective jobs and keep transactions with interested parties at arm’s length.

  2. No entertainment shall be provided even for a business purpose if it requires budget beyond the CA Level. If unavoidable, it shall be reported to the head of the organization concerned (“Organization Head”) for prior approval. Subsequent reporting of how the entertainment was actually provided must be made.

Article 4 (Response to instructions undermining fair conduct of jobs)

  1. Any member of the Company may choose not to follow instructions from any senior member and report to the Organization Head if he/she determines that such instructions undermine fair conduct of his/her job and thus serve the sole benefit of the senior member or any third party.

  2. If instructions as set out in paragraph 1 continue despite the decision not to follow them, the Organization Head and the Office of Ethics shall be immediately notified.

Article 5 (No unauthorized use of Company funds)

  1. No member of the Company shall use the Company’s funds for purposes other than the business activities specified including entertainment and travel which may cause financial damage to the Company.

  2. No member of the Company shall use any of the Company’s assets, including, but not limited to, vehicles, for his/her personal gain.

  3. The Company may recover any of the Company’s funds or assets used or spent for a member’s personal gain.

Article 6 (No undue favors or requests)

  1. No member of the Company shall offer any favor to anyone in connection with the performance of his/her job based on his/her personal connections.

  2. No member of the Company shall seek personal gain or make or accept an undue request in connection with the performance of his/her job and shall not engage in any similar act by a third party.

  3. No member of the Company shall make or accept any request intended to influence his/her or any other’s personnel matters.

Article 7 (No bribery)

  1. No member of the Company shall give, or offer to give, any money/gift, entertainment or convenience to any interested party with the intention of influencing the way the Company conducts business.

  2. No member of the Company shall ask a third party to arrange the giving or offering under paragraph 1 or cause, encourage or allow a third party to give, or offer to give, money/gift, entertainment or convenience to any interested party.

  3. Gifts not beyond the CA Level without any improper intention may be given, provided that they are allowed under social norms and relevant laws. If in doubt, the member planning on doing the giving shall first talk to the Office of Ethics for prior consent.
